The board of directors, sometimes called trustees, is fiscally, legally, and morally responsible for an NPO. The board of directors has a distinct governance role that is different from that of the staff members. The board is responsible for creating the operating policies and procedures for the NPO. Members typically provide both financial resources and business acumen. The recruitment, orientation, and training of board members are extremely important for ensuring their success, as they often come from diverse backgrounds and bring different areas of expertise.
In this Discussion, you will explore the challenges of forming an effective board of directors, and how to overcome these challenges.
To prepare for this Discussion:
• Review this week’s Learning Resources, focusing on the roles and responsibilities of board members and the challenges related to board recruitment.
• Consider your own board member experience, if any.
• Think about how the experience and expertise of individual board members can benefit an NPO.
• Consider some potential challenges to recruiting a balanced and efficient board of directors.
